Transaction involved negotiation of cross-border licensing agreement and service agreement. Following the establishment the joint venture was able to raise 45 million RMB in a round A Financing.

  • Representing a biopharmaceutical company listed the Hong Kong Stock Exchange during arbitration proceeding in Maryland, USA.

  • Successfully advising a foreign manufacturer of pharmaceutical plants during the course of the establishment of a large scale project. Project scale of more than forty four million Euro. Client was able to complete the project.

  • Consulting a foreign manufacturer of pharmaceutical plants regarding its tax liability.

  • Advising a leading European health care provider to resolve a joint venture dispute with aleading Chinese hospital.

  • Advised a foreign invested health care fund regarding the establishment of a joint RMB Fund focusing on health care in China.

  • Advising Nice Software System (NASDAQ: Nice) a world leader in prevention of financial crime, compliance, call recording centers, and homeland security devices in the operation of their Chinese subsidiary, review and revise Nice’s software maintenance contract.

  • Advising a leading foreign telecommunication company (RAD Data Communications) in its corporate restructure following the 2010 modification of the regulations governing the taxation on representative offices. Corporate re-structure includes de-registration of two representative offices, transfer of employees, etc.

  • Advising a foreign company a victim of cyber crime. Project involved internationalcooperation between the police authorities in China and Israel.

  • Advising a leading video surveillance company during their operation in China, reviewedand revised licensing agreement, consultation regarding protection of intellectual property rights.

  • Representing Solarfun Power Holding Co., Ltd. in large-scale purchase contract of wafers
    from a US manufacture.

  • Drafted and consulted Solarfun Power Holding Co., Ltd. regarding a joint manufacturing Agreement with a leading European manufacturer. Project total investment USD
    180,000,000.

  • Assisting a Chinese investment group in the first foreign direct investment of a Chinese company investing in an Israeli high-tech solar company. Project involved an investment of
    USD 11,500,000 (San Hua Group of Zhejian to purchase Israeli Heliofocus).

  • Issued legal opinions for SolarfunPower Holding Co., Ltd. to comply with its filing requirements pursuant to US Security Exchange Commission’s regulations. Legal opinion
    analyzed the major Chinese commercial laws and recent tax modifications.

  • Advised a foreign invested company on warranty related disputes with its foreign buyer relating to the purchase of photovoltaic modules.

  • Drafted a contract for a cooperation agreement between a state-owned enterprise under the control of the Chinese central government and a large foreign investor. Project involved construction and operation of seven hydropower projects in Myanmar.

  • Drafted a non-compete, confidentiality, non-circumvent agreement between an American investor and local Chinese investor regarding the purchase of petroleum products from a state owned enterprises and the Chinese army. Project involved an investment of over RMB 300,000,000.
